OVERTURE U.S. NETWORK

Overture US are responsible for listing sites on AltaVista, Excite, Go2Net, InfoSpace, MSN, Sympatico.ca, AllTheWeb, Yahoo! and their own search engine at overture.com.au.

While Overture US still operate on a "Pay For Performance" as per the Australian version of the Overture network, they offer three variations to this concept - Pay For Performance Search, Site Match and Content Match each of which is detailed below.

Pay For Performance Search - This is virtually the same as the Australian version of Overture in that keywords are auctioned for the "Sponsored Search" results section of each of Overture's search engine partners. Essentially, you set the price you're willing to pay for each sales lead and pay only when customers click through to your site. Dependant on how the amount of your bid compares to that of bids placed by competitors bidding for the same keyword will determine how you are ranked on the search engine in comparison to those competitors.

When two or more advertisers place the same "max bid" on a keyword / term, Overture will give the first advertiser who bid on that term the higher position in the search listings. For example, if there are 2 advertisers that have placed a max bid of 25 cents on a term, they will be listed in order of "seniority." Both of their max bids will remain at 25 cents, and Advertiser #1 will pay 25 cents. The cost for Advertiser #2 will depend on whether he has set a fixed or an auto bid.

Overture Pay-for-Performance Search listings reach over 80% of active Internet users conducting searches on some of the Web's most popular sites, including Yahoo!, MSN, InfoSpace and AltaVista. When a user conducts a search on any of these sites, Overture advertisers have the potential to get that targeted traffic.

Content Match - Content Match is a source of leads that displays your listings when Internet users are viewing related content on Overture's partner pages. The Content Match listings that are served are determined by the relevancy of a bidded search term to the content of the partner's page. For example, if the user is reading an article about interest rates, he or she could find links on the side of the page for mortgage-related advertisers. Similarly, users who are researching vacation plans may see listings for hotels and rental car agencies.

Content Match listings are currently displayed on various channels of the MSN.com Web site, including MSN Entertainment, MSN Fitness, MSN Money, MSN Family, MSN Groups and MSN Tech & Gadgets; as well as on Edmunds.com, Sympatico.ca, and sites in the MyFamily.com Network, Away Network and Advertising.com network. Additionally, Overture has partnered with the online marketing company Virtumundo to deliver advertisers' U.S. listings to targeted recipients who have received a marketing e-mail from of one of Virtumundo's clients.

Overture is in the process of expanding their distribution partner relationships in an effort to display Content Match listings on more Web sites and provide more targeted traffic to our advertising partners.

As with their traditional search product, you pay for Content Match impressions only when a user clicks on your listing. The Content Match click charge that you pay is determined by the amount you bid for a click, and is equal to the click charge for the same listing displayed by our search partners.

Site Match - Site Match complements Overture's Pay-for-Performance concept by expanding your site's coverage on search results pages. It enables your Web pages to be available for inclusion in the standard search results (those appearing in the main body of the search results page) seen by more than 75 percent* of active Internet users, increasing your coverage and bringing you more customers. Site Match partners include Yahoo!, AltaVista, AlltheWeb and others.

When a user clicks your Site Match listing in search results, you pay a cost-per-click fee for that lead.

•  First URL: $49 US
URLs 2-10: $29 US each
URLs 11-999: $10 US each

Subscribers then pay a fixed cost-per-click for each customer lead that clicks on their listing. For most content categories, the cost-per-click is $0.15 US, while select categories are priced at $0.30 US per click.
